While you catch up
A Finish Date a yearly report in the middle
A notice arrived while the oldest month was still open. States ask companies for a yearly report on their own calendar. That calendar does not wait for your oldest open month.
The report is not the federal return
The return you think of in the spring is a federal story, and sometimes a state income story. Separate from that, many states ask a company for a yearly report just because the company exists. People send us a file with franchise report printed on the cover. The cover is not a state. We ask which report it is before we promise anything about it.
The numbers that report wants are often simpler than a tax return, and they are still numbers. Open books turn the report's figures into an estimate. Filing that estimate just to meet a state date creates a second problem beside the first.
Two honest choices
The named day can include the figures that report needs, if the months those figures come from will actually be tied in time. Or the paper can say the report is outside the day, and you will file it from the books you have, with eyes open about what is still untied.
What we will not do is let the report vanish. It is easy, during a long catch-up, to treat every deadline as the same deadline. They are not. A yearly report that lapses can cost the company its good standing while you are still matching March.
No rate and no map on this page
This page does not quote a tax rate, a margin, or a due date for a named state. Those figures live on the instructions for the report you actually have. Bring the notice or the blank form. We will read that form, not a memory of a form from another year.
If the report needs a balance sheet and you do not have one you trust, that fact belongs in the first conversation. Sometimes the right move is a short extension the state itself offers. Sometimes the right move is a narrower day that gets the balance sheet true before the report goes. The paper is what decides between those two moves.
It sits on the list, or it is named as open
On the engagement, the yearly report is a line. Included, with the months it depends on. Or open, with the person who will file it from the books as they stand. A missing line is how it gets forgotten.
When the named day arrives, you should be able to point at that line and know the report was handled or consciously left. Current does not mean every government form on earth. It means the forms you put on the list are not still a surprise.

Tell us a report is coming due.
A state report is coming due before the open months are tied. I need the day to admit that.
You will be talking to the Steven Palmieri practice.
